Welcome to Cycle Financial ("Cycle," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our AI-native finance platform for founders and finance leaders (collectively, the "Services").

By accessing or using Cycle, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services. Please read these Terms carefully before using our platform.

2. Your Representations

By using Cycle, you represent and warrant that:

• You are at least 18 years old
• You have the legal capacity and authority to enter into a binding agreement
• You are using our Services for legitimate business purposes
• All information you provide to us is accurate, current, and complete
• You will comply with all applicable laws and regulations in your use of our Services
• You are authorized to act on behalf of any business entity for which you create an account

3. Description of Services

Cycle provides an AI-native finance layer for founders and finance leaders, including:

• Two-way integrations with your existing ERP or accounting software, such as QuickBooks, Xero, and NetSuite
• Bank account, credit card, and treasury account connections, powered by Plaid Inc.
• Real-time cash visibility, burn rate, and runway
• Financial reporting and analytics
• Multi-entity and multi-ERP consolidation, including multi-currency roll-up
• Automated reconciliation and intercompany elimination across entities

4. Account Registration and Security

4.1 Account Creation

To use Cycle, you must create an account and provide accurate, complete, and current information about yourself and your business. You shall keep all account information current, complete, and accurate. Failure to do so may result in denial, suspension, or closure of your account.

4.2 Account Security

You are solely responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized access or security breach
• Ensuring that your account information is protected from unauthorized access

5. Acceptable Use

You agree not to use Cycle to:

• Violate any applicable laws, regulations, or sanctions
• Engage in money laundering, terrorist financing, or other financial crimes
• Conduct any illegal or fraudulent business activities
• Use the Services for personal purposes unrelated to your business
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer, decompile, or disassemble any part of our platform
• Transmit malware, viruses, or other harmful code
• Impersonate any person or entity
• Interfere with or disrupt the Services
• Circumvent any security measures or access controls

Violation of these restrictions may result in immediate termination of your account and may be reported to appropriate authorities.

6. Pricing and Payment

6.1 Fees

Cycle's pricing is based on your monthly expense level. Current pricing is available on our website and may be updated from time to time. We will notify you of any changes to pricing that affect your account.

6.2 Billing

Fees are billed monthly in advance. By providing a payment method, you authorize us to charge all applicable fees. If payment fails, we may suspend or terminate your access to the Services.

6.3 Taxes

You are responsible for all applicable taxes related to your use of the Services, except for taxes based on Cycle's income.

7. Data and Privacy

Your use of Cycle is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our collection, use, and disclosure of your data as described in the Privacy Policy.

You retain all rights to your data. We may use anonymized and aggregated data for product development, analytics, and improving our Services.

8. Intellectual Property

All content, features, and functionality of Cycle, including but not limited to text, graphics, logos, icons, images, software, and the compilation thereof, are the exclusive property of Cycle Financial and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, lease, or create derivative works from any part of our Services without our express written consent. Any feedback, suggestions, or ideas you submit to us become our property without any obligation to you.

9. Third-Party Services

Cycle integrates with and relies on third-party services, including payment processors, tax filing partners, and other service providers. Your use of these third-party services is subject to their respective terms and conditions.

Bank account, credit card, and treasury account connections are provided through Plaid Inc. ("Plaid"). By connecting an account through Cycle, you also agree to the Plaid End User Services Agreement.

We are not responsible for:

• The availability, accuracy, or reliability of third-party services
• The content, policies, or practices of third-party providers
• Any loss or damage arising from your use of third-party services
• Links to third-party websites or resources

10. Modifications to Services

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We may also impose limits on certain features or restrict access to parts of the Services without notice or liability.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• The Services will be uninterrupted, secure, or error-free
• The results obtained from the Services will be accurate or reliable
• Any errors in the Services will be corrected
• The Services will meet your specific requirements

CYCLE SHALL NOT BE RESPONSIBLE FOR ANY FINANCIAL DECISIONS MADE BY YOU BASED ON INFORMATION PROVIDED THROUGH OUR SERVICES. You are solely responsible for verifying the accuracy of all information and making your own independent financial decisions.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CYCLE FINANCIAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or use
• Business interruption or loss of business opportunity
• Cost of substitute services
• Any damages arising from unauthorized access to your account

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $5,000 USD.

13. Indemnification

You agree to indemnify, defend, and hold harmless Cycle Financial, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the Services
• Your breach of these Terms
• Your violation of any applicable laws or regulations
• Any misrepresentation made by you
• Your infringement of any third-party rights

14. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services shall be resolved through binding arbitration administered by a recognized arbitration institution, except where prohibited by law.

YOU AGREE THAT ANY ARBITRATION SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in class action lawsuits or class-wide arbitration.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

15. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms
• Non-payment of fees
• Suspected fraudulent, illegal, or abusive activity
• Request by law enforcement or government agencies
• Extended periods of inactivity
• Discontinuation of the Services

Upon termination, your right to use the Services will immediately cease. You may request a copy of your data within 30 days of termination, after which your data may be deleted.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Cycle Financial is incorporated, without regard to its conflict of law provisions.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our platform and updating the "Last updated" date. Your continued use of the Services after any changes constitutes acceptance of the new Terms.

For material changes that adversely affect your rights, we will provide at least 30 days' notice before the changes take effect.

18. Electronic Communications

By using Cycle, you consent to receive electronic communications from us, including emails, push notifications, and in-app messages. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Cycle Financial regarding your use of the Services and supersede all prior agreements and understandings.
